1 MINUTES OF THE MEETING HELD ON 7 NOVEMBER 2007
Solomon Agutu advised members of the revisions to the Contract Standing Orders
which had been made subsequent to the previous meeting and Standards
Committee consideration.
RESOLVED: 1) That the Committee recommends the amended Contract
Standing Orders to Council for adoption; and
2) that the minutes of the meeting held on 7 November 2006 are agreed as a
correct record.
2 STAFF CODE OF CONDUCT
Solomon Agutu explained that the Head of Human Resources wanted to allow more
time for Staff Side to respond on this issue and therefore was not seeking to have the
Code approved at the Council meeting on 31 January. Members were invited to
comment on the draft code at this stage and this would then be brought back to a
future meeting for approval.
Members raised the following issues:
 Para 3.12 - Alcohol - the position of staff attending external events needed
to be included.
 Para 5.4 - Gifts and Hospitality - members suggested that a value of £10
would be the appropriate threshold for reporting receipt or offer of gifts.
 Para 7.1 - Managers relationships with staff - The policy should be stronger
and seek to prevent such situations.
 Paras 7.4 - Relationships with vulnerable adults - the policy should be very
clear that this was unacceptable behaviour constituting gross misconduct and
subject to immediate dismissal.
 Para 8.5 – Internet usegroups and chatrooms should be included and these,
together with blogs, should be covered under the internet and email section
3 GUIDANCE FOR COUNCILLORS ON OUTSIDE ORGANISATIONS
RESOLVED: 1) That the Committee agrees to the use of relationship
agreements from the 2007/08 municipal year;
2) that the Committee approves the guidance for issuing to members in
anticipation of appointments to be made in the next municipal year; and

4 CORPORATE GOVERNANCE ISSUES – MINOR CHANGES TO THE

Solomon Agutu tabled a paper detailing the changes proposed and incorporating the
recommendations of Standards Committee.

Recommendations:
A. The proposed changes to the Wimbledon Civic Theatre Trust (WCTT) are
agreed.
1. Purpose of report and executive summary
1.1 To propose a change to the existing governance arrangements for the
WCTT as attached.
1.2 The WCTT has given extensive consideration to its current governance
arrangements and believes the proposed changes will enhance its ability to
deliver the Vision of the Trust.
2. Details
2.1 The WCTT is a company limited by guarantee. It is also a charity. Article 2
of the company articles provide how members of the company are to be
appointed. Responsibilities of WCTT include monitoring the compliance by
the Ambassador Theatre Group (ATG) under the leases for the New
Wimbledon Theatre and the Studio as granted by London Borough of
Merton.
2.2 The WCCT facilitates exciting and innovative theatre education projects for
our local community improving access to performing arts for children and
young people, focussing on those of secondary school age, those with
special needs and those experiencing economic disadvantage.
2.3 In order to continually improve the management of their business and the
successful contribution the Trust makes in the delivery of a complimentary
vision of activities that supports the development of culture in the borough,
the Trust proposes to change its existing governance arrangements for
which it requires approval by the Council.
2.4 Attached at Appendix A to this report is the proposals received from the
WCTT following extensive work by the Trust through a Governance Working
Group. The remit of the working group is to oversee the workings of the
Trust, monitor the effectiveness of the Trust’s financial and management
controls, oversees compliance with legal and statutory requirements and
assures itself that the obligations of the ATG are met.

2.5 The Trust proposes a number of changes that will strengthen the Board and
enable the business of the Trust to be delivered as effectively and efficiently
as possible. Merton Council will be able to appoint up to 6 Trustees under
the new arrangements.
2.6 Attached at Appendix B to this report is the Minute from the WCTT meeting
on 24 May 2007 that confirms the agreement of the existing Board to the
proposals.
2.7 Should the committee approve the new proposals there will be a subsequent
report asking for nominations for the 6 Trustees from the Council in due
course and in line with normal appointment procedures for external
bodies/committees.
3. Alternative options
3.1 To leave the governance arrangements as they currently stand however
there is unanimous support from the WCTT for the new proposals.

4.1 Consultation carried out through the Governance Working Group and at
meetings of the WCTT.

Proposed Governance Arrangements Going Forward
Summary
This paper sets out proposals for WCTT Governance arrangements going forward. It
proposes how Trustees should be selected, the length of a term, how many terms they should
serve, succession planning, changes to the number of Trustees and a co-option arrangements.
1. Background
The Trust Strategy paper circulated at the WCTT Trustee meeting on 17th October 2006 set
out the need to revisit our Governance processes to ensure the Trust has the right skills and
competences and that appropriate Trustee appointment and rotation procedures are in place.
The need to review the Governance arrangements of the WCTT was accepted by the Trustees
at their meeting on 23 January 2007. This paper sets out Governance proposals as a result of
this review.
2. Current Situation
The current composition of the Trust as defined by its Articles, Memorandum and the Merton
Council Outsourcing Documents is 9 Trustees as follows:
4 Trustees nominated by Merton Council
4 Trustees nominated by ATG
1 Trustee as Independent Chair, agreed by ATG, Merton Council and the 8 other Trustees
There are currently no documented processes for appointing Trustees, asking them to step
down or for changing the composition of the Trust. There is also nothing laid down as to the
term of a Trustee nor can the Trust easily access additional pro-bono expertise should it need
to do so (E.g. legal help, additional fundraising assistance, marketing expertise, etc). There is
no formal post of Deputy Chair in the event that the Chair becomes unavailable for any
reason.
3. Proposals
The following changes/additions, based on good Corporate Governance procedures, are
proposed:
a. The formal term of a Trustee will be 3 years
b. Normally a Trustee, if willing, will be asked to serve a second three year
term
c. In exceptional circumstances, but not as a rule, a Trustee may be asked
to serve a third three year term. The reasons for this will need to be
documented
d. Terms will run from when a Trustee was first appointed
e. Trustees may resign at any time by submitting a letter of resignation to
the Chair
f. A Trustee may be asked to resign by the Chair if a 2/3rds majority of the
remaining Trustees (excluding the Trustee being asked to resign but
including the Chair) request resignation of that Trustee 9
g. Trustees are not remunerated and any expenses incurred must be agreed
in advance by the Chair and one other Trustee member of the
Governance Working Group.
h. When new Trustees are sought all Trustees, ATG and Merton Council
will be asked formally to put forward names of possible replacements to
the Chair
i. The Chair will ascertain their willingness to stand
j. The Governance Working Group will consider these names and put
forward a recommendation to the other Trustees who will decide as to
whether or not to nominate the individual as a Trustee
k. If the Trustees accept the nomination then the name will be put to
Merton Council and ATG for approval. Each Group will respond within
4 weeks and approval will not unreasonably be withheld
l. The Chair will also be subject to the above procedures but the name of a
new independent chair will be put forward by Merton Council and ATG,
to the other Trustees for approval. They will act in a timely manner
m. Merton Council and ATG may ask their nominees to stand down at any
time.
n. It will be the responsibility of Merton Council and ATG, in consultation
with the Chair and other Trustees as appropriate, to undertake
succession planning
o. A formal role of Deputy Chair will be established
p. The Governance Working Group will propose one of the existing
Trustees to the full body of Trustees who will decide whether to accept
the individual proposed as Deputy Chair
q. The number of Trustees will be expanded from the current 9 to a
maximum of 13. Of the additional Trustees 2 will be Merton Council
nominees and 2 will be ATG nominees. The principles to be applied in
seeking new Trustees is that as far as possible they will bring additional
skills to the Trust and will be of a younger generation than current
Trustees
r. At the discretion of the Chair potential new Trustees, or those providing
specialist expertise, may be invited to attend Trust and/or Working
Group meetings on the understanding that they will maintain
confidentiality and may be asked to withdraw for items that are
particularly sensitive.
s. The Governance Working Group will oversee these procedures
t. No Trustee who is involved applying for any of the above posts will be
allowed to participate in the nomination or approval processes.
5. Next Steps

1. MINUTES FROM THE LAST MEETING
Minutes of 20th March were approved. BL asked if the pages of the minutes could
be numbered in future.
2. MATTERS ARISING
a) P4 Update
Lyn had sent an email giving a P4 update just prior to the meeting which MR
circulated, but it was felt that a report from her at the next meeting would be
helpful.
b) Arts Strategy for Merton
There was some confusion as to whether Maureen Pepper Arts Development
Manager for Merton Council had consulted the Theatre. KG was asked to clarify
with Maureen, and MR would contact LC to ask for a copy of the strategy.
c) Circulation of Minutes
DR was asked if he was receiving copies of the minutes and he confirmed that he
was.
3. OPERATIONAL UPDATE
KG reported that the theatre would exceed its budget by the end of September and
this would be the first year in which it had made a profit. The autumn programme
was being finalised and she welcomed the input from CL on this. A new marketing
officer had been appointed mainly for Studio and Education work. PB
congratulated KG on the success of the Theatre, and said it was the best performer
in the ATG Group.
4. STRATEGY
a) Education and Projects Strategy
CL and MH gave an overview of the Strategy, and identified possible funders.
There would be a competition published in Time & Leisure for a logo which would
be used on all publicity including the Education Newsletter.
 School’s Showcase – This would take place on 10th July and 3 schools were
involved – St Ann’s, Ursuline, and Wimbledon College. The costs are
estimated at £800-1k. An urgent proposal for this was required for the
Trustees and for submission to the Peter Beckwith Harrow Trust to see
whether they would repeat their offer of last year to fund the project. It is
hoped that more schools would take part in the future.

6. REPORTS FROM DEVELOPMENT WORKING GROUP
a) Newt Funding
The generous donation of £20,000 by Ian Taylor’s Trust to fund NeWT was
acknowledged and Trustees expressed their appreciation.
b) Michael Allen bequest
Trustees were saddened to learn of the death of Michael Allen, a great benefactor of
the Theatre, and wished their condolences to be conveyed to Michael’s family.
Michael Allen’s solicitors had confirmed a bequest of 2.5 % of his estate to the
WCTT. The exact sterling amount is not yet known. The Trust greatly appreciated
this gift, and asked that this thanks be recorded. KG mentioned that there would be
a performance at the theatre which would be dedicated to his memory. She will
inform members of the Trust of the date.
c) PB Harrow Trust
The Trustees expressed their thanks for the generous donation of £25,000 from the
Peter Beckwith Harrow Trust for the current year for the education manager and
programme. It is understood that the Peter Beckwith Harrow Trust will cease its
support of the Educational Programme at the end of this calendar year, in line with
their three-year pump priming strategy.
PB is keen to see the good progress that has already been made with the Educational
Programme being continued, particularly now that the full-time Educational Officer
has made such a good start.
To this end, he has confirmed that he will personally match any funding that the
Trust is able to identify, but which can only be unlocked by a matched type of
funding arrangement.
On behalf of the Trust MR thanked Peter for his generosity.
d) 2007 Gala Dinner Proposal
The proposals made by CD were approved. The event would take place on 1st
December. It was confirmed that because of the shape of the room there would be
no dancing this year. MR will be alerting his friends to put the date in their diary
and will copy Trustees the text of his e-mail.
e) Cannizaro Festival
This was seen as a fund raising opportunity. ATG agreed to make their tent
available for use by the Trust. The performance of “La Boheme” was chosen as the
one likely to be most appropriate for the Trust to use. PB will do a costing and
proposal.
7. ANY OTHER BUSINESS
There was none.

1. Purpose of report and executive summary
1.1 This report gives the background to the removal of trophies, memorabilia
and other related artefacts belonging to the Wimbledon Football Club when it
relocated to Milton Keynes, and recent negotiations for their return.
1.2 It is proposed that this patrimony be passed to the London Borough of
Merton to maintain and display in accordance with the Deed (Appendix 1).
2. Details
2.1 Wimbledon Football Club was originally based at Plough Lane in the London
Borough of Merton. The club played within the Football League in the late
1970s , through the 1980s, winning the FA Cup in 1988. Following the sale
of the grounds by the owner in the early 1990s, the football club moved to
Croydon to share grounds at Selhurst Park.
2.2 The owners and the council spent considerable effort in finding a suitable
site for the club within Merton, one that would be able to meet the
requirements for the building of stadia, but were unsuccessful.
2.3 The owners then relocated the club to Milton Keynes (taking the trophies
and associated artefacts with them); ownership of the club changed and
eventually it was renamed as the MK Dons.
2.4 Fans of the club in south-west London, however, created the Dons Trust,
originally to marshall opposition to the move of the club, but once the move
was approved in 2002, they then created a new club, AFC Wimbledon.

2.5 The patrimony , it was claimed, should not have remained with MK Dons as
this was substantially a different club, and negotiations have been underway
to have the patrimony returned to south-west London.
2.6 The Football Supporters Association has been managing delicate
negotiations between the relevant parties and has reached a conclusion
acceptable to both as laid out in the Accord (Appendix 1).
2.7 The agreement is that artefacts pertaining to Wimbledon Football Club be
passed unencumbered to the London Borough of Merton to be publicly
displayed. The agreement has been formalised in a Deed (Appendix 2)
2.8 Apart from Merton’s role in facilitating an agreement in acting as recipient of
Wimbledon FC’s patrimony, the artefacts are part of the borough’s sporting
heritage.
3. Alternative options
3.1 The London Borough of Merton was approached by the Football Supporter
6.5 Changing display for different parts of the collection: as part of promoting
heritage services more widely it is proposed as part of the relocation of
heritage services from the Canons to Morden Library, that display be
available for changing exhibitions. To accommodate Wimbledon FC
patrimony, extra display facilities would need to be purchased and would be
open to the public either in Morden Library, or in part of the Civic Centre if
agreed. This would involve the purchase of a glass covered display case at
a cost of £600 covered by Library budgets. This is the recommended option.
6.6 Temporary displays for parts of the collection to coincide with specific
anniversaries relating to Wimbledon FC: while this is an option, it does not
remove the need for a display facility as in previous options and 6.6 offers a
better solution.
7. Legal and statutory implications
7.1 The Legal department have been involved in reviewing and agreeing the
wording of the draft deed and have no further comment on this report.
8. Human rights, equalities and community cohesion implications
8.1 None for the purposes of this report

9.1 Any risks would relate to the display of valuable items and advice and
suitable measures would be taken to ensure the security of the collection.

THIS DEED is made the day of 2007
BETWEEN
(1) MILTON KEYNES DONS LIMITED (company number 4787003) whose registered office is at Seckloe
House, 101 North 13th Street, Milton Keynes, MK9 3NX (“MKD”); and
(2) THE MAYOR AND BURGESSES OF THE LONDON BOROUGH OF MERTON whose offices are at
Merton Civic Centre, London Road, Morden, Surrey SM4 5DX (“Merton”);
BACKGROUND
(A) In 2004 the owners of the former Wimbledon Football Club moved the club from Wimbledon to
Milton Keynes.
(B) In recognition of the history and traditions of Wimbledon Football Club and in recognition of the
fact that Wimbledon Football Club was based in the London Borough of Merton prior to 2004, MKD
has agreed to donate all the physical Patrimony, Trade Marks (as defined below) and memorabilia
of that club which MKD currently owns and has in its possession to Merton on the terms of this
Deed. This is in pursuance of the accord between Football Supporters Federation, Milton Keynes
Dons FC, Milton Keynes Dons Supporters Association and the Wimbledon Independent Supporters’
Association dated 1August 2006.
IT IS AGREED as follows:
1 INTERPRETATION
1.1 In this Deed the following words and expressions shall have the following meaning unless
inconsistent with the context:-
 “Patrimony” means all of the trophies, and other memorabilia relating to WFC which are in the
possession and ownership of MKD and are identified in schedule 1
“Trade Marks” means the trade marks relating to WFC listed in schedule 2
 “WFC” means the former Wimbledon Football Club
1.2 In this Deed, unless the context otherwise requires:
1.2.1 words in the singular include the plural and vice versa and words in one gender include
any other gender;
1.2.2 a reference to:-
1.2.2.1 a "person" includes any individual (and their personal representatives), firm, body
corporate, association, partnership, government or state (whether or not having a
separate legal personality);
1.2.2.2 clauses and schedules are to clauses and schedules of this Deed; and

1.2.2.3 any provision of this Deed is to that provision as amended;
1.2.3 references to statutes and statutory provisions shall be construed as amended or
replaced and as including any subordinate legislation made under them in any such case
from time to time; and
1.3 Except where expressly stated otherwise, no provision of this Deed shall govern or limit the extent
or application of any other provision.
1.4 The headings in this Deed are inserted for convenience only and shall not affect its construction.
2 THE GIFTS
2.1 MKD hereby transfers to Merton all Patrimony on the trust declared by this Deed to be held by
Merton in accordance with the terms of this Deed.
2.2 MKD hereby transfers to Merton all Trade Marks on the trust declared by this Deed to be held by
Merton in accordance with the terms of this Deed.
3 THE DOMAIN NAME
3.1 MKD agrees to use all reasonable endeavours to procure the assignment of the domain name
www.wimbledon-fc.co.uk to Merton by FL Interactive Ltd (Company No. 4112553) and Premium
TV Ltd (Company No. 342 6741)
4 THE CONDITIONS
4.1 The assignment set out in clause 2 shall be condition upon compliance with the following
conditions:
4.1.1 Merton shall not sell, assign, pledge or otherwise encumber the Patrimony any interests
therein;
4.1.2 Merton shall take all reasonable steps to keep the Patrimony in the same state of repair
and condition in which they are received;
4.1.3 The Patrimony shall be placed either on permanent display or in a publicly accessible
archive location both within the London Borough of Merton;
4.1.4 Merton shall be permitted to licence the administration and maintenance of the
permanent display of the Patrimony to any agency or undertaking that it deems
appropriate provided that such activities are conducted solely within the London Borough
of Merton;
4.1.5 Merton shall be permitted to sell, assign, pledge or otherwise dispose of the Trade Marks.
5 ADDITIONAL PROVISIONS
5.1 Subject to clause 4.1.3, nothing in this Deed shall prevent Merton from providing the Patrimony or
any archive material to third parties outside the London Borough of Merton on short term loan for

use on specific occasions. For the purposes of this clause “short term loan” shall mean no more
than 14 days in total in any period of 3 months.
5.2 MKD shall not present any objection to the Football League or its contractors in relation to any
WFC related internet domain name being transferred to Merton.
5.3 MKD shall arrange for the physical delivery of the Patrimony to Merton within 7 days of the date of
this Deed.
6 FAILURE OF TRUST
6.1 If Merton shall fail to honour any term of the Trust set out in this Deed then the
Patrimony shall be transferred to such other person, local authority, organisation or
charitable body as MKD shall in its absolute discretion determine being an agency
with historical connections with WFC.
7 FURTHER ASSURANCE
7.1 Subject to clause 7.2, the parties shall at their own cost and expense do or procure to be done all
such further acts and things and execute or procure the execution of all such other documents as
may from time to time be reasonably required by any other party for the purpose of giving the full
benefit of the provisions of this Deed and of the assets, rights and benefits to be transferred to the
Merton under this Deed.
7.2 MKD shall not require Merton to register its ownership of the Trade Marks.
8 MISCELLANEOUS
8.1 The terms and conditions of the Deed are the entire agreement between the parties with regard to
their subject matter and no other terms, conditions, warranties or statements (unless fraudulent)
will apply. Each party acknowledges that in entering into the Deed it does not do so on the basis
of, and does not rely on any representation, unless made fraudulently, warranty or other provision
not expressly contained in the Deed. Any variation to the Deed must be in writing and signed on
behalf of both parties. If a court decides that any part of the Deed cannot be enforced, that
particular part of the Deed will not apply, but the rest of the Deed will. A waiver by a party of a
breach of any provision shall not be deemed a continuing waiver or a waiver of any subsequent
breach of the same or any other provisions. Failure or delay in exercising any right under the
Deed shall not prevent the exercise of that or any other right. Save in relation to the Trade Marks
(and for the avoidance of doubt, to the domain name mentioned in clause 3.1), neither party may
assign or transfer any benefit, interest or obligation under the Deed. The provisions of the
Contracts (Rights of Third Parties) Act 1999 shall not apply to this Deed.
9 NOTICE
9.1 All communications between the parties about this Deed must be in writing and delivered by hand
or sent by pre-paid first class post by facsimile transmission or by e-mail to its registered office or
such changed address as shall be notified to the other party from time to time.
9.2 Communications shall be deemed to have been received:

9.2.1 if sent by pre-paid inland first class post, 2 days after posting (exclusive of the day of
posting);
9.2.2 if delivered by hand, on the day of delivery;
9.2.3 if sent by facsimile transmission or e-mail on a working day (in England) prior to 4.00
p.m., at the time of transmission and otherwise on the next working day provided sender
can show satisfactory transmission.
10 GOVERNING LAW
10.1 This Deed shall be governed by and interpreted in accordance with English law and the parties
hereby submit to the exclusive jurisdiction of the English courts.
IN WITNESS whereof the parties have executed this Deed on the date written above
